Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Hospitality Tools AI website, directory, and related services (collectively, the "Services") operated by Hospitality Tools AI, LLC ("Hospitality Tools AI, LLC," "Company," "we," "us," or "our").

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility and Authority
You must be at least the age of majority in your jurisdiction to use the Services. If you use the Services on behalf of a company or other entity ("Organization"), you represent and warrant that you have authority to bind that Organization to these Terms, and "you" includes both you and that Organization.
2. Privacy
Our Privacy Policy describes how we collect, use, and share information about you in connection with the Services. By using the Services, you acknowledge that you have read our Privacy Policy and agree that we may process your information as described there. The Privacy Policy is incorporated by reference into these Terms.
3. Accounts and Registration
3.1 Account Creation
Some features may require an account. You agree to provide accurate, current, and complete information and to keep it updated.
3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you believe your account has been compromised.
4. Acceptable Use
You agree not to (and not to assist anyone else to) use the Services to:
- Violate any applicable law, regulation, or rule.
- Infringe or misappropriate any third-party rights (including intellectual property and privacy rights).
- Submit false, misleading, deceptive, defamatory, or spam content.
- Distribute malware, viruses, or harmful code, or link to such content.
- Attempt unauthorized access to the Services, user accounts, or systems.
- Interfere with or disrupt the Services (including by excessive automated requests, scraping, crawling, data mining, harvesting, indexing, or load testing without our prior written consent).
- Circumvent rate limits, access controls, robots.txt directives, or other security measures.
- Manipulate ratings, reviews, rankings, traffic, or analytics through fake accounts, automation, undisclosed incentives, or other inauthentic behavior.
- Reverse engineer, decompile, or attempt to discover source code or underlying components of the Services, except where prohibited by law.
We may investigate and take action (including removal, suspension, or termination) if we believe you violated this section.
5. Tool Listings and Submissions
5.1 Submission Requirements
If you submit a tool/listing ("Listing") or related content, you represent and warrant that:
- The information you provide is accurate and not misleading.
- You own, represent, or are authorized to submit the Listing and any submitted content (including names, logos, screenshots, and descriptions).
- The tool and Listing comply with applicable laws and do not contain malicious or illegal content.
- You will keep the Listing reasonably current and notify us of material changes.
5.2 Review and Editorial Control
We may review, approve, reject, edit, re-categorize, feature, unfeature, or remove Listings at our discretion, including for clarity, accuracy, formatting, compliance, inactivity, or policy reasons. We are not obligated to host or display any Listing.
5.3 Listing Availability and Placement
We do not guarantee that a Listing will be continuously available, that a Listing will appear in any specific position, or that it will achieve any particular results, traffic, or conversions.
6. Plans, Fees, and Billing (Monthly; No Public Free Listings)
6.1 Plans and Monthly Fees
We offer paid monthly listing plans. We do not offer free listings publicly. Current monthly plan pricing and features are displayed at checkout and on our pricing page. Plan features are described during checkout and may vary by plan.
6.2 Monthly Billing; Authorization
Plans are billed on a monthly recurring basis unless stated otherwise at purchase. Payments are processed by third-party payment processors (e.g., Stripe). You agree to provide accurate payment information and authorize us (and/or our processors) to charge your payment method for the fees, taxes, and any applicable recurring charges associated with your selected plan.
6.3 Auto-Renewal; Cancellation
Subscriptions renew automatically each month until canceled. You may cancel at any time, and cancellation will take effect at the end of the then-current monthly billing period (meaning you will retain plan benefits through the end of that month). Renewals will be charged at the then-current rate, subject to any applicable notice requirements in Section 6.5.
6.4 Refunds
Except where required by law or due to a verified failure on our side to provide the purchased plan feature, fees are generally non-refundable due to the immediate nature of exposure and service delivery. We do not provide partial-month refunds for cancellations.
6.5 Pricing Changes (30-Day Written Notice)
We may change our pricing, plan features, or applicable fees at any time. For existing subscribers, any price increase will take effect no earlier than thirty (30) days after we provide written notice. Price changes will apply at the next renewal date occurring on or after the effective date of the change, unless otherwise required by law.
6.6 Taxes
You are responsible for any taxes associated with your purchase, except taxes on our net income.
6.7 Failed Payments
If a payment fails or is reversed, we may suspend, downgrade, or disable plan features until payment is received.
6.8 Promotional / Complimentary Listings
From time to time, we may offer promotional, trial, or complimentary access to a listing plan or features ("Promotional Access") for a limited period. Unless otherwise stated in writing by Hospitality Tools AI, LLC, Promotional Access will end automatically at the conclusion of the promotional period.
At the end of the promotional period, (a) the listing will convert to a paid monthly plan at the then-current monthly rate (Basic, Enhanced, or Featured, as specified in the promotional terms) and will be billed using the payment method on file, if any, or (b) if no payment method is on file (or billing is not authorized or fails), the listing will be removed from the Services. We may provide notice of the promotional period end and any conversion terms via email, within the Services, or on our website in accordance with Section 18.2 (Notices).
7. User Content and Licenses
7.1 User Content
"User Content" means content you submit to the Services, including Listings, text, images, logos, and other materials. You retain ownership of your User Content as between you and Hospitality Tools AI, LLC.
7.2 License to Hospitality Tools AI, LLC
By submitting User Content, you grant Hospitality Tools AI, LLC a worldwide, non-exclusive, royalty-free, sublicensable (through our service providers), and transferable license to use, host, store, reproduce, modify (for formatting and presentation), display, publish, distribute, and create derivative works of your User Content solely for the purpose of operating, promoting, and improving the Services, including:
- Displaying Listings in the directory and search results
- Creating promotional materials featuring Listings
- Optimizing content for search and discoverability (including by search engines and AI-assisted discovery and summarization tools)
- Generating aggregate analytics, trends, and category insights
7.3 Responsibility for User Content
You are solely responsible for your User Content and for obtaining all rights, permissions, and releases needed for it. We may remove User Content at any time.
7.4 Feedback
If you provide suggestions or feedback, you grant Hospitality Tools AI, LLC the right to use it without restriction or compensation.
8. Intellectual Property
The Services (excluding User Content) including design, code, structure, and branding are owned by Hospitality Tools AI, LLC and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Services unless we give you written permission.
All third-party trademarks, names, and logos remain the property of their respective owners. Listings are for informational purposes and do not imply ownership by Hospitality Tools AI, LLC.
9. Directory Data; Confidentiality; No Data Solicitation
9.1 Directory Data
The compilation, organization, taxonomy, and presentation of directory information, including categories, tags, rankings, and other curation and metadata (collectively, "Directory Data"), are proprietary to Hospitality Tools AI, LLC.
9.2 No Scraping / Harvesting; Limited Use
Except as expressly permitted by these Terms, you may not extract, scrape, crawl, harvest, index, or copy any Directory Data or other content from the Services by automated means (including bots, scripts, spiders, or scrapers) or in bulk by manual means. You may use the Services only for your internal business evaluation and procurement research purposes (or, if you are a tool provider, to manage and promote your Listing), and not to create or augment a competing database, directory, or service.
9.3 Confidentiality (Business-Use Protections)
To the extent you obtain non-public information from the Services (including any non-public analytics, performance data, or pricing details made available to subscribers), you agree to treat that information as confidential and to use it only for your internal business purposes in connection with the Services. You may disclose such information to your employees and contractors who have a need to know and who are bound by confidentiality obligations at least as protective as these Terms.
9.4 No Solicitation / Resale of Data
You may not sell, license, sublicense, distribute, publish, or otherwise make available any Directory Data (or any substantial portion of it) to any third party, including for marketing lists, lead generation, enrichment, or resale, without our prior written consent.
9.5 Search and AI Discovery; Limited Permission
Notwithstanding Sections 4 and 9, Hospitality Tools AI, LLC permits (a) public search engines and (b) AI-driven discovery services that index publicly accessible web pages to crawl and index publicly accessible pages of the Services for the purpose of search and discovery, provided they comply with our robots.txt and do not access restricted areas, harvest non-public data, or use the Services to create or augment a competing directory, database, lead list, or similar product.
10. Third-Party Tools and Links
The Services may contain links to third-party tools, websites, or services. We do not control and are not responsible for third-party content, availability, security, performance, practices, or transactions. Your use of third-party tools is at your own risk and may be governed by their terms and privacy policies.
11. DMCA / Copyright and IP Complaints
We respect the intellectual property rights of others and expect users to do the same.
11.1 Takedown Notices
If you believe content on the Services infringes your copyright or other intellectual property rights, you may submit a notice to: [email protected] with the subject line "IP Takedown Request" and include:
- Identification of the copyrighted work or IP right claimed to be infringed
- Identification of the material you believe is infringing (including the URL(s) on our site)
- Your name, address, telephone number, and email address
- A statement that you have a good-faith belief the use is not authorized by the rights holder, its agent, or the law
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are the rights holder or authorized to act on their behalf
- Your physical or electronic signature
11.2 Counter-Notice
If you believe your content was removed in error, you may submit a counter-notice to the same email address including:
- Identification of the removed material and where it appeared
- A statement under penalty of perjury that you have a good-faith belief the material was removed as a result of mistake or misidentification
- Your name, address, telephone number, and email address
- A statement that you consent to the jurisdiction of the federal court in the Northern District of Texas (or, if you are outside the U.S., that you consent to jurisdiction in Dallas County, Texas) and that you will accept service of process from the complaining party
- Your physical or electronic signature
11.3 Repeat Infringers
We may terminate accounts of repeat infringers in appropriate circumstances.
12. Service Availability; No SLA
The Services may be subject to downtime, maintenance, updates, or service interruptions. Hospitality Tools AI, LLC does not provide any service level agreement (SLA), uptime guarantee, or minimum availability commitment, unless we have expressly agreed to one in a separate written agreement signed by Hospitality Tools AI, LLC. We may modify, suspend, or discontinue any part of the Services at any time, including features, categories, Listings, or functionality, with or without notice, subject to Section 6.5 for price increases affecting existing subscribers.
13. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOSPITALITY TOOLS AI, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
HOSPITALITY TOOLS AI, LLC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT LISTINGS OR CONTENT WILL BE ACCURATE OR COMPLETE.
INCLUSION OF A TOOL OR LISTING DOES NOT CONSTITUTE ENDORSEMENT OR RECOMMENDATION.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
IN NO EVENT WILL HOSPITALITY TOOLS AI, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES.
HOSPITALITY TOOLS AI, LLC'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
15. Indemnification
You agree to defend, indemnify, and hold harmless Hospitality Tools AI, LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services, (b) your User Content or Listings, (c) your violation of these Terms, or (d) your violation of any rights of another.
16. Dispute Resolution; Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
16.1 Informal Resolution
Before initiating arbitration or a court proceeding, you agree to first contact us at [email protected] and describe the issue. We will try to resolve disputes informally within a reasonable time.
16.2 Binding Arbitration (Commercial)
Except for claims excluded below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted by a single arbitrator. Unless you and we agree otherwise, the arbitration will take place in Dallas, Texas, or may be conducted by telephone, video, or written submissions when appropriate. The arbitrator may award the same damages and relief that a court can award, and the arbitrator's decision will be final and binding, subject to limited review under the Federal Arbitration Act.
16.3 Exceptions (Claims Not Subject to Arbitration)
Either party may bring claims in court only for:
- Small claims court matters (if eligible), in the county where you reside or Dallas County, Texas
- Injunctive or equitable relief to stop unauthorized use or infringement of intellectual property or misuse of the Services
- Claims that, as a matter of law, cannot be required to be arbitrated
16.4 Class Action Waiver
You and Hospitality Tools AI, LLC agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of representative or class proceeding.
16.5 Jury Trial Waiver
TO THE EXTENT PERMITTED BY LAW, YOU AND HOSPITALITY TOOLS AI, LLC WAIVE ANY RIGHT TO A TRIAL BY JURY.
17. Termination
Hospitality Tools AI, LLC may suspend or terminate your access to the Services at any time if we believe you violated these Terms, if required by law, or if we discontinue the Services. You may stop using the Services at any time. Upon termination, your right to use the Services will stop immediately. We may remove or retain User Content as reasonably necessary to operate the Services, comply with legal obligations, resolve disputes, or enforce these Terms.
18. General Terms
18.1 Changes to These Terms
We may update these Terms from time to time. The updated Terms will be effective when posted, and your continued use of the Services indicates acceptance.
18.2 Notices (Written Notice)
We may provide notices to you by email to the address associated with your account, by posting a notice within the Services, or by posting a notice on our website. Notices are deemed received when sent (for email) or when posted (for in-product or website notices). You are responsible for keeping your contact information current.
18.3 Governing Law; Venue (Texas)
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. To the extent any dispute is not subject to arbitration, any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to personal jurisdiction and venue in those courts.
18.4 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
18.5 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets.
18.6 Entire Agreement
These Terms constitute the entire agreement between you and Hospitality Tools AI, LLC regarding the Services and supersede prior agreements on the same subject.
